1. Agreement to Terms

  • These Terms and Conditions (“Terms”) constitute a legally binding agreement between you and Vision Africa Research Services (Pty) Ltd (“Vision Africa”, “we”, “us”, or “our”) governing your access to and use of our market research platform and services.
  • By accessing or using our platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our services.

2. Definitions

  • “Platform” refers to the Vision Africa market research web application, including all features, tools, and services
  • “Services” refers to all market research services we provide, including survey distribution, mystery shopping, data collection, and analytics
  • “User” refers to any individual accessing the Platform in any capacity
  • “Client” refers to organizations or individuals contracting us for market research services
  • “Respondent” refers to individuals participating in surveys or research activities
  • “Researcher” refers to our staff members conducting research on behalf of Clients
  • “LSM” refers to Living Standards Measure, a socio-economic segmentation tool

3. User Accounts and Registration

  • 3.1 Account Creation

  • To access certain features, you must create an account by providing:
  • Accurate, current, and complete information
  • A valid email address
  • A secure password meeting our requirements
  • Demographic information as required for your user type

  • 3.2 Account Eligibility

  • You must be at least 18 years old to create an account and use our services. By registering, you represent and warrant that you meet this age requirement.

  • 3.3 Account Security
  • You are responsible for:
  • Maintaining the confidentiality of your password and account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breaches
  • Ensuring you log out after each session, especially on shared devices

  • 3.4 Account Suspension and Termination
  • We reserve the right to suspend or terminate your account if:
  • You violate these Terms or any applicable laws
  • You provide false, inaccurate, or misleading information
  • Your account has been inactive for more than 2 years
  • We detect fraudulent, abusive, or suspicious activity
  • You fail to pay fees owed for Client services

4. User Roles and Responsibilities

  • 4.1 Respondents

  • As a Respondent, you agree to:
  • Provide truthful and accurate responses to survey questions
  • Complete surveys to the best of your ability
  • Not create multiple accounts to participate in the same survey
  • Maintain the confidentiality of survey content
  • Provide accurate demographic and LSM data
  • Comply with survey-specific instructions and time limits

  • 4.2 Clients

  • As a Client, you agree to:
  • Provide clear project briefs and research objectives
  • Pay all fees according to agreed payment terms
  • Use research data only for intended business purposes
  • Not share login credentials with unauthorized parties
  • Comply with data protection laws when using respondent data
  • Respect intellectual property rights in survey materials

  • 4.3 Researchers

  • As a Researcher, you agree to:
  • Maintain professional standards and ethical research practices
  • Protect confidentiality of client projects and respondent data
  • Follow Vision Africa’s research methodologies and quality standards
  • Report any data quality issues or irregularities
  • Comply with ESOMAR and local research industry codes of conduct

5. Services Provided

  • 5.1 Market Research Services

  • We offer the following market research services:
  • Business Reputation Management: Stakeholder analysis, brand perception studies, competitive positioning research
  • Retail Audits: Product availability tracking, price monitoring, shelf share analysis, competitive intelligence
  • Brand Performance: Brand awareness measurement, market share analysis, consumer preference studies
  • Mystery Shopping: Service quality evaluation, compliance checks, customer experience assessment
  • Customer Satisfaction: CSAT surveys, NPS measurement, customer journey mapping
  • Employee Opinion Surveys: Employee satisfaction, engagement metrics, organizational culture assessment

  • 5.3 Geographic Coverage

  • Our services are available across 7 Southern African markets: Namibia (headquarters), Zimbabwe, Zambia, Angola, Mozambique, Botswana, and Malawi.

6. Fees and Payment

  • 6.1 Client Fees

  • Client services are provided on a fee-for-service basis. Fees are determined by:
  • Project scope and complexity
  • Number of respondents and geographic coverage
  • Research methodology required
  • Data analysis and reporting requirements
  • Turnaround time expectations

  • 6.2 Payment Terms

  • Unless otherwise agreed in writing:
  • 50% deposit required before project commencement
  • Balance due upon project completion or within 30 days of invoice
  • Late payments may incur interest charges at 2% per month
  • We reserve the right to withhold deliverables until full payment is received

  • 6.3 Respondent Rewards

  • Respondents may earn rewards for survey participation. Rewards are subject to:
  • Survey completion and quality checks
  • Minimum redemption thresholds
  • Expiration policies as specified in the rewards program
  • Tax obligations in accordance with local laws

  • 6.4 Refund Policy

  • Refunds for Client services are evaluated on a case-by-case basis and may be granted if:
  • We fail to deliver services as agreed
  • Data quality issues arise from our error
  • Project is cancelled before fieldwork commences (50% cancellation fee applies)

7. Intellectual Property Rights

  • 7.1 Platform Ownership

  • Vision Africa owns all rights, title, and interest in the Platform, including:
  • Software code, algorithms, and technical infrastructure
  • Visual design, user interface, and branding
  • Proprietary LSM scoring methodology and analytics tools
  • Research methodologies and templates

  • 7.2 Client Data and Reports

  • Clients retain ownership of:
  • Project-specific data collected on their behalf
  • Final research reports and deliverables
  • Client-provided survey content and materials
  • We retain the right to use aggregated, anonymized data for research purposes, benchmarking, and service improvement.

  • 7.3 Prohibited Uses
  • You may not:
  • Copy, modify, or reverse engineer any part of the Platform
  • Use automated tools to scrape data from the Platform
  • Remove or alter copyright notices or branding
  • Resell, sublicense, or redistribute our services without authorization
  • Create derivative works based on our proprietary methodologies

8. Data Protection and Privacy

  • Your use of the Platform is governed by our Privacy Policy and Data Protection Policy. By using our services, you consent to our data practices as described in those policies.
  • We comply with GDPR, POPIA, and applicable data protection laws across all 7 markets we operate in.

9. Prohibited Conduct

  • You agree not to:
  • Violate any applicable laws or regulations
  • Provide false, misleading, or inaccurate information
  • Impersonate another person or entity
  • Engage in fraudulent activities, including survey fraud or payment fraud
  • Attempt to gain unauthorized access to the Platform or user accounts
  • Introduce viruses, malware, or malicious code
  • Harass, abuse, or harm other users or our staff
  • Use the Platform for any illegal or unauthorized purpose
  • Interfere with the proper functioning of the Platform
  • Circumvent rate limiting or security measures

10. Disclaimers and Limitations of Liability

    THE PLATFORM AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • 10.2 No Guarantee of Results

    While we use professional research methodologies, we do not guarantee specific research outcomes, response rates, or business results from our services.
  • 10.3 Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, VISION AFRICA SHALL NOT BE LIABLE FOR:
    INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES SERVICE INTERRUPTIONS, ERRORS, OR TECHNICAL FAILURES ACTIONS OF THIRD PARTIES OR OTHER USERS UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

  • Our Platform may contain links to third-party websites or integrate with third-party services (e.g., payment processors, analytics providers). We are not responsible for the content, privacy practices, or terms of third-party services. Your use of third-party services is at your own risk.

13. Force Majeure

  • We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemics, natural disasters, government actions, internet failures, or labor disputes.

16. Governing Law and Dispute Resolution

  • These Terms are governed by the laws of Namibia, without regard to conflict of law principles.

  • 16.2 Dispute Resolution

  • In the event of any dispute, both parties agree to:
  • First attempt to resolve the dispute through good faith negotiations
  • If negotiations fail, submit to mediation before pursuing litigation
  • Arbitration in Windhoek, Namibia under Namibian arbitration law (for commercial disputes over $10,000 USD)

  • 16.3 Jurisdiction

  • You agree to submit to the exclusive jurisdiction of the courts located in Windhoek, Namibia for any disputes not resolved through arbitration.

17. Miscellaneous Provisions

  • These Terms, together with our Privacy Policy and Data Protection Policy, constitute the entire agreement between you and Vision Africa regarding the Platform.

  • 17.2 Severability

  • If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

  • Not create multiple accounts to participate in the same survey
  • Maintain the confidentiality of survey content
  • Provide accurate demographic and LSM data
  • Comply with survey-specific instructions and time limits
  • 4.2 Clients
  • As a Client, you agree to:
  • Provide clear project briefs and research objectives
  • Pay all fees according to agreed payment terms
  • Use research data only for intended business purposes
  • Not share login credentials with unauthorized parties
  • Comply with data protection laws when using respondent data
  • Respect intellectual property rights in survey materials
  • 4.3 Researchers
  • As a Researcher, you agree to:
  • Maintain professional standards and ethical research practices
  • Protect confidentiality of client projects and respondent data
  • Follow Vision Africa’s research methodologies and quality standards
  • Report any data quality issues or irregularities
  • Comply with ESOMAR and local research industry codes of conduct

6. Fees and Payment

  • 6.1 Client Fees
  • Client services are provided on a fee-for-service basis. Fees are determined by:
  • Project scope and complexity
  • Number of respondents and geographic coverage
  • Research methodology required
  • Data analysis and reporting requirements
  • Turnaround time expectations
  • 6.2 Payment Terms
  • Unless otherwise agreed in writing:
  • 50% deposit required before project commencement
  • Balance due upon project completion or within 30 days of invoice
  • Late payments may incur interest charges at 2% per month
  • We reserve the right to withhold deliverables until full payment is received
  • 6.3 Respondent Rewards
  • Respondents may earn rewards for survey participation. Rewards are subject to:
  • Survey completion and quality checks
  • Minimum redemption thresholds
  • Expiration policies as specified in the rewards program
  • Tax obligations in accordance with local laws
  • 6.4 Refund Policy
  • Refunds for Client services are evaluated on a case-by-case basis and may be granted if:
  • We fail to deliver services as agreed
  • Data quality issues arise from our error
  • Project is cancelled before fieldwork commences (50% cancellation fee applies)

7. Intellectual Property Rights

  • 7.1 Platform Ownership
  • Vision Africa owns all rights, title, and interest in the Platform, including:
  • Software code, algorithms, and technical infrastructure
  • Visual design, user interface, and branding
  • Proprietary LSM scoring methodology and analytics tools
  • Research methodologies and templates
  • 7.2 Client Data and Reports
  • Clients retain ownership of:
  • Project-specific data collected on their behalf
  • Final research reports and deliverables
  • Client-provided survey content and materials
  • We retain the right to use aggregated, anonymized data for research purposes, benchmarking, and service improvement.
  • 7.3 Prohibited Uses
  • You may not:
  • Copy, modify, or reverse engineer any part of the Platform
  • Use automated tools to scrape data from the Platform
  • Remove or alter copyright notices or branding
  • Resell, sublicense, or redistribute our services without authorization
  • Create derivative works based on our proprietary methodologies

8. Data Protection and Privacy

  • Your use of the Platform is governed by our Privacy Policy and Data Protection Policy. By using our services, you consent to our data practices as described in those policies.
  • We comply with GDPR, POPIA, and applicable data protection laws across all 7 markets we operate in.

9. Prohibited Conduct

  • You agree not to:
  • Violate any applicable laws or regulations
  • Provide false, misleading, or inaccurate information
  • Impersonate another person or entity
  • Engage in fraudulent activities, including survey fraud or payment fraud
  • Attempt to gain unauthorized access to the Platform or user accounts
  • Introduce viruses, malware, or malicious code
  • Harass, abuse, or harm other users or our staff
  • Use the Platform for any illegal or unauthorized purpose
  • Interfere with the proper functioning of the Platform
  • Circumvent rate limiting or security measures

10. Disclaimers and Limitations of Liability

    THE PLATFORM AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • 10.2 No Guarantee of Results

    While we use professional research methodologies, we do not guarantee specific research outcomes, response rates, or business results from our services.
  • 10.3 Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, VISION AFRICA SHALL NOT BE LIABLE FOR:
    INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES SERVICE INTERRUPTIONS, ERRORS, OR TECHNICAL FAILURES ACTIONS OF THIRD PARTIES OR OTHER USERS UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM.

  • Content you submit or share through the Platform

  • Our Platform may contain links to third-party websites or integrate with third-party services (e.g., payment processors, analytics providers). We are not responsible for the content, privacy practices, or terms of third-party services. Your use of third-party services is at your own risk.

13. Force Majeure

  • We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemics, natural disasters, government actions, internet failures, or labor disputes.

14. Modifications to Terms

  • We reserve the right to modify these Terms at any time. Changes will be effective upon:
  • Posting the updated Terms on the Platform with a new “Last Updated” date
  • Email notification to registered users for material changes
  • Continued use of the Platform constitutes acceptance of modified Terms

  • These Terms are governed by the laws of Namibia, without regard to conflict of law principles.
  • 16.2 Dispute Resolution
  • In the event of any dispute, both parties agree to:
  • First attempt to resolve the dispute through good faith negotiations
  • If negotiations fail, submit to mediation before pursuing litigation
  • Arbitration in Windhoek, Namibia under Namibian arbitration law (for commercial disputes over $10,000 USD)
  • 16.3 Jurisdiction
  • You agree to submit to the exclusive jurisdiction of the courts located in Windhoek, Namibia for any disputes not resolved through arbitration.
